Effective Date:
These Referral Partner Terms & Conditions ("Agreement") govern your use of the referral services provided by Record Rx, LLC ("Company," "we," "our," or "us"). By creating an account, submitting referrals, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by this Agreement.
Fees and Payment
No Upfront Fees
There are no upfront fees charged for submitting referrals or maintaining an account.
Service Fee
A fee shall only be charged upon the successful delivery of the record collection process for a referred case. A record collection process is deemed delivered when the requested records have been obtained and made available to the requesting party.
Non-Completion
If the record collection process cannot be completed despite reasonable efforts, no service fee shall be assessed, except where no existing medical records or medical history are available, or where the parties have otherwise expressly agreed in writing.
Referral Partner Responsibilities
You agree to:
- Comply with all applicable federal, state, and local laws and regulations.
- Promptly respond to requests for additional information necessary to complete a record retrieval request.
- Verify the identity of each individual you refer, in accordance with the Client Identity Verification section below, before submitting the referral.
- Provide only true, accurate, and complete information in connection with each referral, including all identity attestations.
Client Identity Verification
Referral Certification. By submitting a referral, you certify that, to the best of your knowledge, the information provided about the referred individual is accurate and that you have a reasonable basis for believing the individual is the person identified in the referral. Acceptable forms of identification include government-issued identification such as a driver's license, passport, or other government-issued photo ID.
Records. You agree to maintain records sufficient to support your compliance with this section in accordance with your normal record-retention practices and applicable law. Upon reasonable request, you will cooperate with the Company in confirming that appropriate verification was performed.
Independent Relationship. Any verification activities are conducted solely in connection with your own relationship with the referred individual and not on behalf of the Company. Nothing in this Agreement creates an agency, employment, partnership, joint venture, or similar relationship between you and the Company.
Company Review. The Company may, in its sole discretion, conduct additional verification, request further information regarding a referral, or decline to process any referral.
Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) any false, inaccurate, or incomplete identity verification attestation; (b) any other false or inaccurate information you provide in connection with a referral; (c) your violation of this Agreement; or (d) your violation of any applicable law or regulation, including privacy and health information laws.
Right to Opt Out
You may discontinue using our services and close your account at any time by providing notice through your account settings or by contacting us directly.
Effect of Opting Out
Opting out will stop future referral submissions and future use of our services. However:
- Any fees incurred for services already completed prior to your opt-out date will remain due and payable.
- Active record retrieval requests that are in progress may be completed unless cancellation is requested and approved by the Company.
No Guarantee of Record Availability
The Company does not guarantee that requested records will be available, obtainable, complete, or provided within any specific timeframe. Record availability is dependent upon third-party custodians, healthcare providers, governmental entities, and other external parties.
Confidentiality and Data Protection
Both parties agree to maintain the confidentiality of all non-public information obtained through the referral relationship. The Company will use commercially reasonable measures to protect information provided through the platform and will handle information in accordance with applicable privacy laws.
Limitation of Liability
To the maximum extent permitted by law, the Company's liability arising out of or relating to this Agreement shall not exceed the total fees paid for the specific service giving rise to the claim.
Under no circumstances shall the Company be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, or loss of data.
Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. The Company disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
Termination
The Company reserves the right to suspend or terminate any account that violates this Agreement, provides false information, engages in unlawful activity, or otherwise misuses the platform.
Modifications
The Company may update these Terms & Conditions from time to time. Continued use of the platform after updated terms become effective constitutes acceptance of the revised Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

I have read and agree to the Referral Partner Terms & Conditions and understand that fees are only charged upon successful completion of the record collection process. I understand that, for each individual I refer, I am required to verify the individual’s identity as described in the Client Identity Verification section and to attest to that verification with each referral. I understand that I may discontinue use of the services at any time, subject to payment obligations for completed services.
